Break exhibitors are permitted to exhibit during morning and afternoon break times. You will set up your table top display 30 minutes prior to the scheduled exhibit time and break down your exhibit immediately following the exhibit time. Please note, the actual exhibit time is only for the time NOTED and your display must be removed at the end of the time specified in order that the hotel staff can set up for the next event (storage space will be available for your exhibit materials during non-exhibiting times).

Cost to participate as a BREAK EXHIBITOR during any or all of the ABOVE NOTED TIME(S) is $1,800.00 for PADONA Agency members and $2,300 for Non-Agency members

Exhibit fee includes 1 six foot table, table skirt, 2 chairs, and identifying sign. Telephone and internet service is not included. The hotel charges exhibitors directly for the use of their electrical extension cords and power strips. If payment in full is not received by March 1, 2025 the contract is rendered null and void.

Exhibitor Benefits

Exhibitor shall receive the benefits associated with the selected exhibit package as described in PADONA’s exhibitor agreement and conference materials.

PADONA reserves the right to make reasonable modifications to exhibit hall layouts, booth assignments, conference schedules, and event programming, as necessary.

Cancellation Policy

Written cancellations received on or before December 31, 2026 shall receive a refund less a $150 administrative fee.

Written cancellations received after January 1, 2027 shall not be eligible for any refund and Exhibitor shall remain responsible for the full exhibit fee, regardless of whether the exhibit space is reassigned by PADONA.

No refunds shall be issued after the Exhibitor occupies exhibit space, participates in conference activities, receives exhibitor benefits, or attends the conference.

Security & Liability

Hotel security will be provided during the non-exhibit hours. However, each exhibitor must make provisions to safeguard their goods from the time they are placed in the area until they are removed at the end of the convention. Space is leased with the understanding that PADONA and the contracted hotel assume no liability whatsoever for damages, for any act of omission or commission in connection with said agency, and that the exhibitor and his representative hereby releases PADONA and contracted hotel from any or all liability for loss ensuing from any cause whatsoever. Exhibitor assumes entire responsibility and hereby agrees to protect, indemnify, defend and save PADONA and contracting hotel and their employees and agents harmless against all claims, losses or damages to persons or property, governmental charges or fines and attorney fees arising out of or caused by exhibitor’s installation, removal, maintenance, occupancy or use of the exhibition premises, except to the extent that such claims, losses or damages is caused by the negligence or willful misconduct of PADONA or contracting hotel and their employees and agents.

Exhibor Conduct

Exhibitor agrees to conduct business in a professional, ethical, and courteous manner and to comply with all conference rules, venue requirements, hotel policies, and applicable federal, state, and local laws. Exhibitor acknowledges that the conference venue prohibits exhibitors, sponsors, and their representatives from bringing, serving, distributing, or dispensing outside food or alcoholic beverages on hotel premises without the express written authorization of the venue. Exhibitor shall be solely responsible for complying with all venue food and beverage policies and for any charges, fines, penalties, or damages resulting from noncompliance.

PADONA reserves the right, in its sole discretion, to require the immediate removal of any exhibit, display, product, promotional activity, food or beverage service, or exhibitor personnel that violates conference rules, venue requirements, hotel policies, applicable laws, or the professional standards of the conference. PADONA further reserves the right to remove or prohibit the participation of any exhibitor whose conduct is disruptive, unsafe, unlawful, harassing, abusive, or otherwise inconsistent with the mission and professional standards of PADONA. Any such removal shall be at the exhibitor's sole expense and shall not entitle the exhibitor to a refund of exhibit fees, sponsorship fees, or any other amounts paid to PADONA.

Payment, Chargebacks, Collections, and Dispute Resolution

By submitting this Agreement, making payment, accepting exhibit space, attending the conference, setting up a display, occupying exhibit space, participating in conference activities, or utilizing any exhibitor benefits, Exhibitor acknowledges that PADONA has substantially performed its obligations under this Agreement.

All exhibit fees, sponsorship fees, advertising fees, upgrade fees, and other charges are non-refundable except as expressly provided herein or approved in writing by PADONA.

Any upgrades, additional exhibit space, sponsorships, advertising purchases, equipment rentals, or other services requested by Exhibitor before or during the conference shall become part of this Agreement and shall be fully payable upon invoicing.

Exhibitor agrees not to initiate a credit card chargeback, payment dispute, payment reversal, or similar action after receiving the benefits of participation in the conference.

If Exhibitor initiates a chargeback, payment dispute, or payment reversal and PADONA establishes that the charges were properly due under this Agreement, Exhibitor shall remain responsible for all amounts owed.

Exhibitor agrees to reimburse PADONA for all chargeback fees, bank fees, collection costs, attorney fees, court costs, filing fees, service fees, and other expenses incurred in recovering unpaid amounts.

Any unpaid balance shall accrue interest at the rate of 1.5% per month (18% annually) or the maximum rate permitted by law, whichever is less, beginning thirty (30) days after the original due date.

PADONA reserves the right to deny future exhibit, sponsorship, advertising, conference attendance, or participation opportunities to any exhibitor with an outstanding balance, unresolved chargeback, payment dispute, or prior violation of this Agreement.

Liability and Indemnification

Exhibitor assumes all responsibility for loss, theft, or damage to its property. Hotel security will be provided during the non-exhibit hours. However, each exhibitor must make provisions to safeguard their goods from the time they are placed in the exhibit area until they are removed at the end of the convention.

PADONA, its officers, directors, employees, volunteers, contractors, and agents shall not be liable for any injury, loss, theft, damage, delay, interruption, cancellation, or consequential damages arising from participation in the conference.

Exhibitor agrees to defend, indemnify, and hold harmless PADONA, its officers, directors, employees, volunteers, and agents from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorney fees, arising from Exhibitor’s participation in the conference.

Force Majeure

PADONA shall not be liable for failure to perform due to acts of God, weather events, government action, public health emergencies, labor disputes, venue unavailability, terrorism, civil unrest, or other causes beyond PADONA’s reasonable control.

If the conference is canceled, postponed, shortened, or modified due to such circumstances, PADONA may determine an equitable credit or refund policy at its sole discretion.

Governing Law and Venue

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania.

The parties agree that any dispute arising from or relating to this Agreement shall be brought exclusively in the Court of Common Pleas of Dauphin County, Pennsylvania, or any Pennsylvania Magisterial District Court having jurisdiction.

Exhibitor expressly consents to the personal jurisdiction and venue of such courts.

Electronic Acceptance**

Electronic signatures, electronic acceptance, online registration, digital acknowledgments, and electronic communications shall be deemed original signatures and shall be fully enforceable. Notices sent to the email address provided by Exhibitor shall be deemed received on the date transmitted.
